What you'll do:

As a Paralegal you'll assist the attorneys within a particular Practice Group, with a wide range of transactions or projects including drafting and/or reviewing basic legal documents, contracts and correspondence and other substantive and procedural work necessary for the Company to comply with its legal and regulatory obligations in its business activities and operations. One of your key responsibilities within your Practice Group will be to prepare corporate documents for executive or Board-level meetings, review and respond to legal litigation requests (e.g., subpoenas, discovery, or demand letters), draft legal correspondence and contracts (e.g., loan documents, vendor contracts, customer agreements), and perform legal research and other office administration functions. Areas of primary responsibility for this role will be within corporate governance and corporate records, securities, entity management, secured transactions, commercial finance and lending, deposit banking operations, treasury management, contracts, and real estate.
  • Serve as a liaison between the attorneys in the Practice Group and the clients in the preparation and drafting of legal documents including corporate governance reports and documents (e.g., Board agendas and minutes, SEC filings), vendor contracts, non-disclosure agreements, subpoenas, complaints, and various customer documents/agreements (e.g., loan documents, deposit agreements, formations and authorization documents of third parties). Work closely with the attorneys in the practice group to ensure the Company meets its legal and regulatory requirements.
  • Responsible for supporting work surrounding drafting policies and procedures around the functions and workflows performed within a Practice Group and/or Legal Department to ensure consistency within the Legal Department and the Company around certain legal expectations and requirements. Follow indexing standards and provide reporting around the legal cases, deadlines and tasks performed by the Practice Group.
  • Perform legal and factual research (e.g., due diligence related to transactions, investigations, or discovery) on various federal, state, and local matters and creates summaries, presentations, and/or memoranda summarizing his or her research in a manner that is useful for the intended audience. Identify relevant judicial decisions, statutes, legal articles, codes and other pertinent material.

What you'll need:

  • 5+ years of related experience in Legal or similar field.
  • High school diploma required; Some college or technical training preferred.
  • Intermediate knowledge of applicable regulatory and legal compliance obligations, rules and regulations, industry standards and practices.
  • Intermediate skills in all Microsoft Office Suite applications.
  • Advanced skills in Microsoft Excel.
  • Intermediate knowledge in some or all the following practice areas: litigation, collections/bankruptcy, deposit banking operations, treasury management, contracts and vendor management, employment, secured transactions (including the Uniform Commercial Code), and corporate records.
  • Relevant experience in private law practice or in-house legal department.
  • Proficient in Microsoft Office.
  • Advanced speaking and writing communication skills.
  • Paralegal Certification required.
