We are seeking a skilled and experienced Public Sector/Government Contracts and Compliance Professional to join our legal team supporting the company's wholly-owned and cleared subsidiary, Progress Federal Solutions, Inc. ("PFS"). As a vital member of the legal and administrative team, you will play a key role in: providing efficient contract negotiation, management and administration; providing guidance on FAR/DFAR provisions; ensuring adherence to government procurement regulations and laws, supporting our sales and capture teams; and managing and maintaining records. You will collaborate closely with internal stakeholders, senior management, and external partners to ensure the company's legal interests are safeguarded and aligned with our business objectives. You will be responsible for coordinating with colleagues on the Legal and cross-functional teams such as Finance to ensure government transactions align with the company's policies and revenue accounting requirements.

In this role, you will be doing:
Government Contracts Management, Compliance, and Administration:
- Draft, review, negotiate, and administer federal and U.S. SLED (state, local and educational) contracts to ensure compliance with the FAR, DFARS, and federal Commercial Item practices, as both a subcontractor and a prime contractor
- Support subcontractor negotiations and contract management lifecycle requirements, including analysis and tracking of flow-downs, contract modifications, and ongoing contractual compliance oversight
- Support analysis, evaluation, and preparation of bid proposals, quotations, and responses to information requests
- Assist with new business activities by drafting and negotiating nondisclosure agreements and teaming arrangements, and completing various required forms and certifications
- Ensure compliance with government procurement regulations and laws
- Support and lead coordination efforts between the subsidiary and the parent on aligning contracting and procurement forms, policies, and practices for software licensing, distributor/reseller and other partner relationships, and subcontractor and supplier risk management and contracting
- Familiarity with legal and regulatory issues associated with U.S. federal, state and local contracting practices
- Support the company's sales and services teams with legal, compliance, regulatory and other issues related to the U.S. government's procurement of, and requirements associated with, Progress' products and services
- Have demonstrable experience in, and provide advice and support on, matters such as bid protests, Freedom of Information Act (FOIA), Pay to Play statutes, and other general matters involving procurement, sales, and services provision to U.S. federal, state, and local governments
- Familiarity with CMMC, FAR/DFAR cybersecurity provisions and contractual aspects relating to NIST risk management frameworks
- Maintain contractual documentation and track and comply with recordkeeping requirements
- Manage and administer the company's SAM data and account
- Coordinate classified contract forms and documentation as needed with the company's facility security officer if/as requested.
Corporate Governance, Ethics, and Compliance:
- Support the subsidiary general counsel in corporate secretarial duties, including preparation of Board materials, governance documents, minutes, and other matters
- Support the drafting, reviewing, and updating of policies, procedures, and internal controls to ensure compliance with applicable laws and regulations
- Assist in providing and reviewing compliance training requirements and materials
- Regulatory tracking and preparation of notices and communications for proposed and promulgated rulemaking readiness
- Support internal audit, investigations, and other efforts to identify red flags and escalate issues related to government actions such as price reductions, most favored customer, mandatory disclosure triggers, export controls, and similar obligations
- Monitor changes in legal and regulatory landscapes to proactively identify potential compliance risks and recommend appropriate actions.
Your background:
- Experience with federal government contracts laws and regulations (e.g., FAR, DFARS, and Commercial Item Contracting)
- Experience with GSA and other Government-Wide Acquisition Contract (GWAC) and SEWP contracting vehicles and Wide Area Workflow (WAWF) practices
- Demonstrated ability to draft and negotiate legally sound and business-supporting contractual language
- Experience with public sector legal and compliance issues including but not limited to the False Claims Act, Procurement Integrity Act, Truth in Negotiations Act, equitable adjustments, and general government ethics and compliance requirements
- Having a J.D. from an ABA-accredited law school and member of a state bar in good standing, with a combination of law firm and/or U.S. government experience, is preferred but may be offset with extended industry or government experience in federal contracting
- Experience working in a cleared or FOCI-mitigated government contractor and familiarity with the NISPOM Rule and DoD Directives preferred
- Software or technology industry experience is preferred
- Experience with administrative law and regulatory rulemaking
- Familiarity with commercial and information technology licensing agreements
- Excellent legal research, analytical abilities, and current knowledge of federal and state government contracts laws
- Excellent judgment and ability to assess risk and benefits and convey them in a clear and concise manner
- Ability to see the "big picture" while maintaining attention to detail
- Solid work ethic and ability to work independently with minimal supervision
- Excellent project management, productivity, organizational and time management abilities; able to meet demanding deadlines in a fast-paced, dynamic environment
- Excellent interpersonal, organizational, critical thinking and written and oral communications skills.
