Summary:

The primary purpose of this position is to support the legal department with a variety of legal issues, including but not limited to: (1) drafting, reviewing and approving certain legal corporate contracts, (2) ensuring legal compliance for all contracts, drafts, internal procedures, standard operating procedures and other relevant legal processes, and (3) assisting with various projects, litigations, and investigations as needed. Individual will review contracts for certain key terms, draft template agreements, act as a liaison with all corporate departments, obtain appropriate departmental review, ensure all contracts meet legal compliance requirements (including compliance with FMV and AKS requirements), and will utilize the electronic document routing system. In addition, this position will assist the legal and compliance departments with gathering and maintaining data for external reporting purposes and other coordination and special projects as needed.


Responsibilities

Essential Duties & Responsibilities:

  • Lead daily legal contracting function including:
  • Review all incoming vendor contracts for key provisions including but not limited to: legal terms and conditions, prerequisite contracts, and legal compliance requirements;
  • Drafting of all Health Care Professional (HCP) consultant contracts and coordinating with internal business partners to ensure appropriate receipt of documentation and routing for approval;
  • Review all HCP consultant contracts for required key provisions, including: payment terms, Fair Market Value, billing address and insurance requirements;
  • Address responses from HCP consultants, coordinate with internal business partners and incorporate any changes into contracts;
  • Review and incorporate any and all legal changes into contracts, as appropriate;
  • Research and review all contracts to ensure favorable legal terms for the Company;
  • Act as first point of contact with business for most legal-related issues;
  • Track authorizations, correspondence, and deadlines as well as analyzing and mitigating risk of contracts;
  • Assist in the maintenance, identification, development and implementation of new contract forms, policies and processes, including contract archiving; and
  • Maintain detailed organized files; complex audit files for each contract which hold originals, all correspondence, changes and deviations, amendments and payment schedules.
  • Work closely with compliance department to gather and maintain data for external reporting purposes.
  • Work closely with legal department on various projects, litigations, and investigations.
  • Other ad hoc analysis / projects as deemed appropriate.

Supervisory Responsibilities:

No staff supervisory responsibilities.

Interaction:

The incumbent works closely with all departments in the Company, special emphasis on working directing with the Legal and Compliance teams, operations, customers (internal and external), vendors and HCP and non-HCP consultants.


Qualifications

Education and Experience:

  • Associates Degree from accredited College or University required; Bachelor's Degree in Business, Healthcare or related field preferred.
  • Paralegal Certification preferred.
  • Minimum of 1 year experience working as a paralegal in a corporate or legal office preferred but not required.
  • Minimum 2 - 4 years professional work experience in healthcare industry in a corporate setting preferred.

  • General knowledge of contracts preferred, or business acumen.
  • Strong demonstrated Microsoft Office skills, including Word, Excel, and Outlook.
  • Demonstrate high level of accuracy; high attention to detail.
  • Excellent oral and written English communication skills.
  • Demonstrated ability to manage multiple projects, set priorities and meet deadlines.
  • Ability to communicate effectively across all levels and departments of the organization.
  • Experience working in a fast paced environment with multi-project and multi-product manufacturing industry.
  • Proven excellent customer service skills.
  • Demonstrated commitment to work within regulatory and ethical bounds.
  • Proven ability to maintain confidentiality with sensitive materials and information.
  • Knowledge of Ariba/SAP electronic system preferred but not required.

Physical Demands:

While performing the duties of this job, the employee is regularly required to sit, talk, move between spaces, reach with hands and arms, and stoop. Close vision and the need to focus on computer screen, use of hands, fingers and wrist to type on keyboard and manipulate mouse.

Work Environment:

Typical office setting, staff in cubicles, noise level is moderate with consistent printer, telephone ringing and conversation. Employee is located in cubicle setting.
