Mechanics Bank is currently searching for a Contracts Manager to join our team. Here at Mechanics Bank, we value connection, partnership, long term relationships and working together in person. This role will be working on-site at our Roseville, CA office. The Contracts Manager works closely with business partners throughout the Bank to define and document contract requirements, draft new agreements, amendments, addenda, change orders, and terminations, etc. Drives contract negotiations, contract administration, and vendor contact activities to ensure proper contract execution and fulfillment in accordance with Bank policies, legal requirements and business partner specifications. Participates at a significant level in defining and drafting new processes and controls to help the Bank more effectively manage overall vendor costs, improve vendor delivery and service levels, and strategically plan for vendor decisions in a timely manner. Advises management of contractual rights, issues and obligations by providing sound interpretation of terms and conditions. What you will do:
Ensures contract terms and conditions address primary business risk areas, such as indemnification, limitations of liability, and confidentiality, are addressed in the best interest of the Bank. Synthesize diverse perspectives to arrive at actionable contract decisions and formally document decisions, risks and concessions. Maintain the status of assigned vendor contracts and engages business owners during the contract lifecycle to ensure all milestones, including SLAs, termination/renewal notifications, and/or replacement decision dates are properly met. Provides guidance to business partners on the development of Service. Level Agreements and ensures meaningful remedies and recourse are included in all contracts. Negotiates terms of select contracts within Bank legal, risk, and financial parameters while ensuring vendor contracts meet all compliance regulations and internal policies. Compiles, analyzes and maintains vendor contract information to provide periodic reporting to various internal business partners, committees and regulators. Provides interpretations of vendor contracts and render opinions on contract terms to business partners and management. Prepares & analysis reports, spreadsheets and data (including spend information) to facilitates and maintenance of accurate contract records and vendor relationships. Who you are:
Bachelor's degree in Business, Finance, or related field required and 3+ years of professional contract management, contract negotiation, or IT vendor management experience. Law degree or experience highly preferred. Proficient with MS Office suite and Internet. Strong PDF editing and aggregation and Excel skills. Expert knowledge of contracts negotiation and execution. Expert knowledge of advanced and highly complex contracts including dispute resolution. Must be able to read, interpret and enforce contract language, including rendering opinions on risk to executive management and legal counsel. Knowledge and familiarity with contract management systems/software. Ability to be a champion and agent for change. Demonstrated capacity for strategic process improvements. Excellent verbal and written communication skills with strong analytic ability. Possess effective time management and organizational skills. Able to cope with pressure resulting from meeting required deadlines and reporting requirements. Exemplary motivation, enthusiasm, and professionalism. Consistently demonstrate tact, discretion and good judgment. Exhibit high degree of professionalism and confidentiality in handling and having access to sensitive information. Must be able to travel throughout bank's footprint to perform required duties (less than 25%). LANGUAGE SKILLS: Ability to read, analyze, and interpret and drive enforcement of contract language and previsions, including rendering opinions on risk to executive management and legal counsel. Excellent verbal and written communication skills with strong analytic ability and extensive attention to detail. Ability to effectively present information and respond to questions from groups of managers, clients, customers. MATHEMATICAL SKILLS AND REASONING ABILITY: Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, and percentages. Ability to interpret a variety of instructions furnished in written, oral, or schedule form. Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
#LI-AS1 Salary Range: $72,000-119,000 annually Final compensation package will be determined by the work experience, education, and/or skill level of the applicant along with internal equity and alignment with geographic market data.
